Terms of Service

This document is published while the operating company, its registered address, the governing law and the data-protection contact are still being confirmed, and it has not been reviewed by counsel. It describes how Sposai works today, but do not rely on it as settled legal text.

These Terms of Service (“Terms”) are a contract between you and [TO BE COMPLETED] (“Sposai,” “we”) governing your access to and use of Sposai (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Service.

1. Eligibility & account

You must be old enough to form a binding contract in your jurisdiction. Provide accurate information, keep your password secure, and don’t share your account. You’re responsible for activity under it. Tell us promptly at [email protected] if you suspect unauthorized use.

2. The Service

Sposai is a wedding-planning platform — a dashboard for guests, vendors, budget, accommodation, seating, and tasks, plus a guest-facing wedding website and an AI assistant. We may add, change, or discontinue features, and we’ll aim to give reasonable notice of material changes.

3. Your content & license

You retain ownership of the content you add (guest lists, vendor details, photos, copy). You grant us a limited, worldwide license to host, process, and display that content solely to operate and provide the Service to you. You’re responsible for having the rights to the content you upload.

4. Your guests’ data

You are the controller of the guest data you enter and confirm you have a lawful basis to share it with us and to contact those guests. We process it as your processor under the Privacy Policy. You’re responsible for your guests’ privacy requests and for using their data lawfully.

5. Acceptable use

Don’t use the Service to break the law; infringe intellectual-property or privacy rights; send spam or unsolicited messages; upload malware; harass; scrape; overload or probe the platform; or reverse-engineer it except as the law permits. We may remove content or suspend accounts that violate this section.

6. Plans & payment

Paid features, if any, are billed through our payment processor at the prices and cycles shown at checkout. Unless stated otherwise or required by law, fees are non-refundable. Taxes may apply. We’ll give notice of price changes. [Confirm plan, billing, and refund terms.]

7. Intellectual property

The Service — software, design, and trademarks — belongs to Sposai or its licensors and is protected by law. These Terms grant you no rights in our IP beyond using the Service as permitted.

8. Third-party services

The Service relies on third parties (hosting, email, payments) and may link to external sites. We’re not responsible for third-party services, and your use of them is governed by their terms.

9. Disclaimers

The Service is provided “as is” and “as available.” To the extent permitted by law, we disclaim implied warranties and don’t guarantee the Service will be uninterrupted, error-free, or fit for a particular purpose. AI-assistant output may be inaccurate — verify anything important.

10. Limitation of liability

To the maximum extent permitted by law, Sposai is not liable for indirect, incidental, special, or consequential damages, or for lost data or profits, and our aggregate liability is limited to [the greater of the amount you paid us in the prior 12 months or a stated cap]. Some jurisdictions don’t allow certain limitations, so parts of this may not apply to you.

11. Indemnification

You agree to indemnify Sposai against claims arising from your content, your use of the Service, your handling of guest data, or your breach of these Terms, to the extent permitted by law.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for breach, legal risk, or to protect the Service. On termination, your right to use the Service ends; data handling follows the Privacy Policy.

13. Governing law & disputes

These Terms are governed by the laws of [TO BE COMPLETED], and disputes will be resolved in [courts/venue], without prejudice to mandatory consumer protections in your country of residence. [Confirm with counsel.]
